Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Viridian Business Solutions, an Oregon business ("we," "us," or "operator"), which operates TaskReminder.org (the "site"). PLEASE READ CAREFULLY. SECTION 11 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Acceptance
By accessing or using the site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site.
2. Eligibility
You must be at least 13 years old to use the site. If you are between 13 and the age of majority in your jurisdiction, you may use the site only with the involvement of a parent or legal guardian.
3. The service
The site lets you enter a task and email address and receive recurring email reminders on a cadence you select, until you mark the task complete.
4. No guarantee; entertainment use only
The site is provided for general informational and entertainment purposes only. We do not guarantee that reminders, notifications, dates, times, or other features will be accurate, timely, uninterrupted, or error-free. You are solely responsible for independently tracking any important deadlines, tasks, appointments, medical, legal, financial, or safety-related obligations.
5. Your responsibilities
- Provide an accurate email address that you own or are authorized to use.
- Do not submit reminders to email addresses you do not own or control.
- Do not use the site to send spam, harassment, threats, or illegal content, or to violate anyone's rights.
- Do not probe, scan, overload, or attempt to breach the site's security or systems.
- Do not use automated tools to submit bulk reminders.
6. Intellectual property
The site and its content, design, text, graphics, logos, and features are owned by Viridian Business Solutions or its licensors and are protected by US and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.
7. Copyright / DMCA
If you believe content on the site infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at support@taskreminder.org. Your notice must include the information required by 17 U.S.C. § 512(c)(3).
8. Third-party advertising
The site displays advertising through Google AdSense and may contain links to third-party websites. We are not responsible for the content, products, services, or practices of any third party or advertiser. Your interactions with advertisers are solely between you and the advertiser.
9. Disclaimer of warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY REMINDER WILL BE DELIVERED.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VIRIDIAN BUSINESS SOLUTIONS OR ITS OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, INCLUDING ANY MISSED DEADLINES, APPOINTMENTS, OR OBLIGATIONS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
11. Binding arbitration and class-action waiver
Please read this section carefully. You and Viridian Business Solutions agree that any dispute, claim, or controversy arising out of or relating to these Terms or the site (a "Dispute") will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, and not in court, except that either party may bring an individual action in small-claims court. The arbitration will be conducted in Multnomah County, Oregon, or by video or telephone, and will be governed by the Federal Arbitration Act.
Class-action waiver. YOU AND VIRIDIAN BUSINESS SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND VIRIDIAN BUSINESS SOLUTIONS WAIVE THE RIGHT TO A TRIAL BY JURY.
30-day opt-out. You may opt out of this arbitration agreement by emailing support@taskreminder.org with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms. Opting out will not affect any other provision.
12. Governing law and venue
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-laws principles. To the extent a Dispute is not subject to arbitration, you and Viridian Business Solutions consent to the exclusive jurisdiction and venue of the state and federal courts located in Multnomah County, Oregon.
13. Indemnification
You agree to defend, indemnify, and hold harmless Viridian Business Solutions and its owners, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the site, your content, or your violation of these Terms or any law or third-party right.
14. Termination
We may suspend or terminate your access to the site at any time, with or without notice, for any reason, including any breach of these Terms. Sections 6 and 9–13 survive termination.
15. Changes
We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date. Your continued use of the site after changes take effect constitutes acceptance.
16. Severability
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
